Introduction and Legal Terms

By accessing or using our website, https://gomove.co.za/, or any related platform or application (collectively, the "Platform”), you agree that you have read, understood and agree to be bound by these terms and conditions (“Terms”). All rights in and to the content of the Platform remain expressly reserved by GoMove.

These Terms explain the conditions applicable to how you will use the Platform. Please read these Terms carefully before using the Platform. We will assume you have read and understood these Terms if you continue to access or make use of our Platform.

Please pay specific attention to the BOLD paragraphs of these Terms. These paragraphs limit our risk or liability, constitute an assumption of risk or liability by you, impose an obligation on you to indemnify us or is an acknowledgement of any fact by you.

The terms "user", “you" and “your” refer to any person who accesses or uses the Platform. The terms "GoMove", “us”, “our” and “we” refer to GoMove Proprietary Limited.

Our Services

What Our Platform Offers: GoMove operates a platform through which users may request quotations, make bookings and access information relating to moving, transport, packing, wrapping, loading, offloading, dismantling, reassembly, storage and related logistics services ("Services"). GoMove may perform the Services itself or arrange for the Services to be performed by approved independent moving partners ("Moving Partners"). A Moving Partner may use its own vehicles, personnel, equipment, uniforms and branding.

Modification to the Platform: We may update, add, replace, suspend or discontinue Platform features or capabilities from time to time. We will not thereby affect a confirmed booking, which remains subject to the applicable quotation, booking confirmation and GoMove's Client Terms and Conditions.

Information made available on or through the Platform is provided for general information purposes only and does not constitute a binding quotation, booking confirmation, insurance confirmation or professional advice.

GoMove does not guarantee the availability, timing, price, scope or outcome of any Services. Any quotation is based on the information available to GoMove and remains subject to the applicable quotation, booking confirmation, availability, access conditions, inventory and GoMove's Client Terms and Conditions.

A request submitted through the Platform is not a confirmed booking or an offer by GoMove to provide Services. A booking is confirmed only when GoMove confirms it in writing, including by email, WhatsApp, the Platform or another electronic communication accepted by GoMove.

Quotations and Booking Documentation: You may request a quotation or booking through the Platform by submitting the required information and supporting documentation, including inventories, photographs, videos, collection and delivery addresses and access details. GoMove may request additional information and may accept or decline a booking request. If GoMove confirms a booking, the applicable quotation, booking confirmation and GoMove's Client Terms and Conditions will govern the Services. If there is a conflict between these Terms and those documents in relation to the Services, those documents will prevail to the extent of the conflict.

Accurate Information: When using the Platform or requesting Services, you agree to provide accurate, authentic, current and complete information and to update this information when it changes. This includes accurate information regarding the inventory of goods, collection and delivery addresses, access restrictions, stairs, lifts, parking, walking distances and any special-handling requirements.

Warranty: By sharing personal information with us, you warrant that you are authorised to provide that information, including the personal information of any collection contact, delivery contact, household member, employee or other person. You are responsible for the information provided and all actions taken through the Platform. Please see our Privacy Policy for more details on how we use and process personal information.

Responsibilities and Warranties

Platform Responsibilities: By using the Platform, you warrant that -

you have read and agreed to these Terms and will use the Platform in accordance with them;
you have not made any misrepresentations and the information provided by you, including information relating to any proposed move, is true, accurate and complete in every material respect;
you are at least 18 (eighteen) years old and have the legal capacity to understand, agree to and be bound by these Terms;
you lawfully possess and submit all information to GoMove for use of the Platform and the Services and indemnify GoMove against third-party claims arising from GoMove's authorised processing of information shared by you with GoMove;
you will not post, upload, replicate or transmit any content on the Platform that is or could reasonably be considered to be threatening, harassing, defamatory, abusive, racist, sexist, discriminatory, in breach of confidence, in breach of privacy or restrict any user in any way from properly using the Platform;
you will not send any unsolicited electronic messages or use any software, routine or device to interfere or attempt to interfere electronically or manually with the operation or functionality of the Platform including but not limited to uploading or making available files containing corrupt data or viruses via whatever means or deface, alter or interfere with the front end ‘look and feel’ of the Platform or the underlying software code;
you will not infringe the intellectual property or other rights of any third party or GoMove or transmit content that you do not own or do not have the right to publish or distribute;
you will not use the Platform for any commercial purpose other than as expressly provided for by GoMove herein;
you will not use the Platform to breach any applicable law or regulation or perform or encourage any illegal activity, including arranging the transport of prohibited, hazardous or restricted items without GoMove's prior written approval; and/or
you will not facilitate or assist any third party to do any of the above,

failing which, such action will constitute a breach of these Terms, entitling GoMove to enforce its rights, including denying you access to the Platform, cancelling or declining a booking where permitted under the applicable Client Terms and Conditions, reporting your actions to an applicable authority or instituting legal proceedings against you.

Connected Devices: The Platform is only available on compatible devices connected to the internet. It is your responsibility to obtain these devices and any connectivity necessary to use the Platform. We do not guarantee that the Platform or any portion thereof, will function on any particular hardware or device.

Access to Platform in Breach: Without prejudice to any of our other rights (whether at law or otherwise), we reserve the right to deny you access to the Platform where we believe (in our reasonable discretion) that you are in breach of any of these Terms.

Confidentiality

GoMove will treat information submitted through the Platform in accordance with applicable law, these Terms and our Privacy Policy. GoMove may use and disclose that information to Moving Partners, payment providers, insurers, information technology and communications providers, professional advisers, regulators, law-enforcement bodies and other service providers where reasonably necessary to quote for, arrange, perform, administer, support, investigate, improve or protect the Services, comply with law, manage a claim or dispute, or protect GoMove's rights, property or safety.

Data Processing

We will store and process personal information you share with us through the Platform or in connection with the Services in accordance with applicable data-protection legislation, including the Protection of Personal Information Act 4 of 2013 (“POPIA”), and our Privacy Policy.

You authorise GoMove to process your personal information for the purposes described in our Privacy Policy, including to provide the Platform and Services. GoMove may share relevant personal information, including contact details, collection and delivery addresses, access information, inventory details and booking information, with the Moving Partner assigned to a booking and other service providers involved in providing or supporting the Services. We will retain personal information only for as long as reasonably necessary for these purposes or as required by law.

Messages and Hyperlinks

Data Messages between You and GoMove

Data messages, including email messages and support queries, you send to us will be considered as received only when we acknowledge or respond to these messages.
Data messages we send to you will be regarded as received when the data message enters your email server inbox or messaging inbox and is capable of being retrieved and processed by you.
We reserve the right not to respond to any email or other data message that contains obscene, threatening, defamatory or otherwise illegal, unlawful, or inappropriate content, and to take appropriate action against the sender of such email or data message if necessary.
Messages sent over the internet cannot be guaranteed to be completely secure as they can be intercepted, lost, or corrupted. We are therefore not responsible for the accuracy or safety of any message sent by email or over the internet.

Hyperlinks, Deep Links, Framing

The Platform may include links to other websites ("other sites"). We do not own or endorse these other sites and are not responsible for the information, material, products, or services contained on or accessible through these other sites. Any hyperlinks do not imply any endorsement, agreement on or support of the content or products of these other sites.
We do not own the content on any other site which may be shown on the Platform. Should the owner of any content showcased on the Platform want the content to be removed, please contact us to request the removal of such content. Your access and use of the other sites remain solely at your own risk and on the terms set by the operator of any other site.

Intellectual Property

Platform IP: All Platform and software layout, Platform and software content, material, information, data, software, icons, text, graphics, layouts, images, sound clips, advertisements, video clips, user interface design and layout, trade names, logos, trademarks, designs, copyright and/or service marks, together with the underlying software code (“Intellectual Property”), are owned by GoMove or its licensors and are protected from infringement by applicable domestic and international legislation and treaties.

User submitted IP: All rights to intellectual property you provide to us remain with you, but you grant GoMove a non-exclusive, worldwide, royalty-free licence to use, reproduce, store, adapt and share that intellectual property to the extent reasonably necessary to quote for, arrange, perform, administer, investigate, improve and protect the Services, comply with law and enforce GoMove's rights, subject to applicable law and our Privacy Policy.

No Modification of IP: Subject to the rights afforded to you in these Terms, all other rights to all intellectual property on the Platform, the Services or GoMove are expressly reserved. You may not copy, download, print, modify, alter, publish, broadcast, distribute, sell, or transfer any intellectual property, editorial content, graphics or other material or the underlying software code whether in whole or in part, without our written consent first being granted, which consent may be refused at our discretion. No modification of any intellectual property or graphics is permitted. Should you breach these provisions, we and/or the rightful intellectual property rights owner may launch legal proceedings against you for a breach of contract, resulting in a claim of damages against you.

Updates: We reserve the right to make improvements or changes to the Intellectual Property, information, videos, graphics and other materials on the Platform or to suspend or terminate the Platform at any time; provided that a confirmed booking will not be affected by that suspension or termination and will remain subject to the applicable quotation, booking confirmation and Client Terms and Conditions.

Third Party IP: Where any intellectual property has been licensed to us or belongs to any third party (“third party IP”) all rights of use will also be subject to any terms and conditions which that licensor or third party imposes from time to time, and you agree to comply with such third-party terms and conditions. If there is a conflict between the licensing terms of third-party IP and these Terms, the licensing terms of the third-party IP shall prevail only in connection with the related third party IP. GoMove disclaims all liability related to any third-party components utilised in the Services. You acknowledge that GoMove is not the author, owner or licensor of any third-party IP, and we accordingly make no warranties or representations, express or implied, as to the quality, capabilities, operations, performance or suitability of third-party IP.

User License: Subject to adherence to the Terms, GoMove grants to you a personal, revocable, non-exclusive, non-assignable and non-transferable license to use and display all content and information on any machine within your network. However, nothing contained on the Platform or in these Terms should be construed as granting any licence or right to use any intellectual property without our prior written permission.

Indemnities and Disclaimers

Disclaimers

The Platform is provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, GoMove does not warrant that the Platform will be uninterrupted, error-free, secure or free from viruses or other harmful components, or that any defects or errors will be corrected. You use the Platform at your sole risk. The Services are governed by the applicable quotation, booking confirmation and GoMove's Client Terms and Conditions.
No advice or information, whether oral or written, obtained by you from GoMove or through or from the Platform shall create any warranty not expressly stated in these Terms.
All content, information and opinions made available on the Platform are provided for general information purposes only. While we make reasonable efforts to present information accurately and reliably, we do not guarantee its accuracy, completeness or currency, and you should not rely on it as a substitute for an applicable quotation or booking confirmation.
We take reasonable security measures to ensure the safety and integrity of the Platform and to exclude viruses, unlawful monitoring and/or access. However, we do not warrant or represent that your access to the Platform will be uninterrupted or error-free or that any information, data, content, software, or other material accessible through the Platform will be free of bugs, viruses, worms, trojan horses or other harmful components.
To the maximum extent permitted by applicable law, GoMove and its directors, employees, contractors, Moving Partners and service providers will not be liable for indirect, incidental, special, consequential or punitive damages, including loss of profits, data, goodwill or other intangible losses, arising from your use of or inability to use the Platform, unauthorised access to or use of our servers or personal information stored therein, interruption or cessation of transmission to or from the Platform, or bugs, viruses, trojan horses or similar harmful components transmitted by a third party. Any liability arising from the Services is governed by the applicable quotation, booking confirmation and GoMove's Client Terms and Conditions. Nothing in these Terms limits or excludes liability to the extent that it cannot lawfully be limited or excluded.
You expressly acknowledge and agree that GoMove is not liable or responsible for any defamatory, offensive, or illegal conduct of other users or third parties.

Indemnities

You agree to indemnify, defend and hold GoMove, its directors, employees, contractors, Moving Partners and service providers harmless from liability, loss, claim and expense, including reasonable legal fees, arising from your unlawful use of the Platform, breach of these Terms, infringement of third-party rights, inaccurate or incomplete information submitted by you, or your submission of prohibited, hazardous or restricted items, except to the extent that the liability, loss, claim or expense results from GoMove's negligence, gross negligence, wilful misconduct or conduct for which liability cannot lawfully be excluded.

This clause will survive termination of these Terms.

Dispute Resolution

Negotiation: Should any dispute, disagreement or claim arise between you and GoMove concerning use of the Platform, the parties will endeavour to resolve the dispute amicably through good-faith negotiation. Any dispute relating to the Services will be dealt with under GoMove's Client Terms and Conditions.

Mediation: If a Platform-related dispute is not resolved through negotiation, the parties may agree to refer it to mediation before an independent mediator.

Arbitration: If a Platform-related dispute is not resolved through mediation, either party may refer it to binding and confidential arbitration under the expedited rules of the Arbitration Foundation of Southern Africa (“AFSA”). The arbitrator will be appointed in accordance with the applicable AFSA rules.

Jurisdiction: Nothing in these Terms prevents either party from approaching an appropriate South African court or exercising any non-excludable right or remedy available under applicable law, including the right to approach a consumer-protection body, tribunal, ombud or regulator where legally entitled to do so.

Notices and Service Address

GoMove chooses its registered physical address stated in the Company Information section as its domicilium citandi et executandi for the service of legal process. Operational communications relating to quotations, bookings, payments, cancellations, complaints and Platform use may be sent using the contact details supplied by you, including by email, WhatsApp, SMS, telephone or Platform notification, where permitted by applicable law.

Any notice given in writing in English and actually received by the party to whom it is addressed will be deemed properly given and received, notwithstanding that it was not given in accordance with this clause.

General

Relationship Between the Parties: Nothing in these Terms creates a partnership, joint venture, employment relationship or agency relationship between you and GoMove. Moving Partners are independent contractors and are not employees, partners or agents of a Customer.

Force Majeure: If either party is prevented or delayed from performing its obligations under these Terms by an event beyond its reasonable control, including war, political riots, civil commotions, electrical load-shedding or surges, legal prohibitions or restrictions, epidemics, pandemics, governmental lockdowns, fire, floods or similar natural disasters, that failure or delay will not constitute a breach to the extent and for the duration of the prevention or delay, provided that the affected party uses reasonable commercial endeavours to minimise the resulting delay.

Changes to these Terms: GoMove may update these Terms from time to time by publishing an updated version on the Platform. Updated Terms apply from the stated effective date. Your continued use of the Platform after that date constitutes acceptance of the updated Terms. The version of GoMove's Client Terms and Conditions applicable to a booking will be the version made available when that booking is confirmed, unless otherwise agreed in writing or required by law.

Entire Agreement: These Terms contain the entire agreement between the parties in relation to use of the Platform. In relation to Services, the applicable Client Terms and Conditions, quotation, booking confirmation and any written variation confirmed by GoMove form the agreement between GoMove and the Customer. If there is a conflict, the Client Terms and Conditions, quotation or booking confirmation will prevail to the extent of the conflict.

No Indulgence: No indulgence, leniency or extension of time granted by GoMove constitutes a waiver of any of GoMove’s rights under these Terms. GoMove will not be precluded, as a consequence of having granted an indulgence, from exercising any rights against you that have arisen in the past or may arise in the future.

Importation of Words: Words importing the singular will include the plural and vice versa. Words importing one gender will include the other genders, and words importing persons will include partnerships, trusts, and bodies corporate, and vice versa.

Headings as Reference: The headings to the paragraphs in these Terms are inserted for reference purposes only and will not affect the interpretation of any of the provisions to which they relate.

Governing Law: Your access and/or use of the Platform, any downloaded material from it and the operation of these Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa.

Severability: Each sentence, paragraph, term, clause and provision of these Terms and any portion thereof shall be considered severable and if for any reason, any such sentence, paragraph, term, clause or provision is held to be invalid, contrary to, or in conflict with any applicable present or future law or regulation or in terms of a final, binding judgment issued by any court, it shall to that extent be deemed not to form part hereof and shall not impair the operation of, or have any effect upon such other sentence, paragraph, term, clause or provision hereof as may otherwise remain valid or intelligible, which shall continue to be given full force and effect and bind the parties hereto.

Consumer Protection: No term or condition of these Terms is intended to limit, exclude or waive any right or remedy that cannot lawfully be limited, excluded or waived under applicable consumer-protection legislation. Any provision that is invalid or unenforceable for that reason will be read down or severed only to the extent necessary to make it valid and enforceable.
